Introduction

These Terms of Use ('Terms') apply to the NeoSatoshi website and the NeoSatoshi software-as-a-service (the 'Service') provided by NeoGen Solutions GmbH ('NeoSatoshi', 'we', 'us'). By creating an account, uploading content, purchasing a subscription, connecting integrations, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Definitions
In these Terms: 'Service' means the NeoSatoshi website, apps, and features (including card detection, exports, listing archive, and direct listing integrations). 'Account' means your user account. 'Card Scans' means the usage allowance that limits how many images you can process in a given period. 'User Content' means content you upload or submit (such as card photos and listing notes). 'Integrations' means connections to third-party services (such as eBay or Shopify). 'Subscription' means a paid plan billed via our payment provider.

Users of the Services
The Service is available to individuals and legal entities. You must be at least 16 years old to create an Account. You are responsible for keeping your login credentials secure and for all activity under your Account. Accounts registered by bots or automated methods are not authorized and may be deleted. If you use the Service on behalf of a company or another person, you confirm you have authority to accept these Terms on their behalf.
Access to the Website
Some parts of the Service are available for free and some require a paid Subscription. Subscriptions are billed via a third-party payment provider (for example Stripe) and may renew automatically unless you cancel. You can cancel your Subscription at any time; access to paid features typically remains until the end of your current billing period, unless stated otherwise in the checkout or customer portal. We may change, suspend, or discontinue the Service (or any part of it) at any time. The Service is provided 'as is' and 'as available'.
Authorized Use of the Services
You agree not to use the Service for illegal, harmful, or abusive activities. This includes (without limitation): uploading illegal content (including CSAM), attempting to bypass Card Scans or other limits, scraping or automated bulk requests that impair the Service, reverse engineering or interfering with our systems, infringing intellectual property rights, or sharing/selling Accounts. You are responsible for reviewing and verifying any listing data before publishing to a marketplace. You must comply with the rules of any marketplace you use (such as eBay or Shopify). We may suspend or terminate Accounts that violate these Terms.
Intellectual Property
The Service and its software, design, and branding are owned by NeoGen Solutions GmbH or its licensors and are protected by Swiss and international intellectual property laws. You retain ownership of your User Content. By uploading User Content, you grant us a limited, worldwide, non-exclusive license to host, store, process, and display that content solely to operate and improve the Service, provide support, and fulfill your requested exports/listings. This license ends when you delete the content from the Service, except where retention is required for legal or security reasons.
Links to Other Websites
The Service may link to or integrate with third-party services (such as eBay, Shopify, Cardmarket, or Stripe). These third parties are not under our control and have their own terms and policies. We are not responsible for third-party services, their availability, or any fees they charge. If you connect an Integration, you authorize the Service to perform the actions you request (for example creating/updating listings or products) using the permissions you grant.
Disclaimer
The Service is provided for information and workflow assistance only. Card detection and pricing data may be incomplete or inaccurate. You are responsible for verifying card matches, conditions, and listing details before publishing. We do not guarantee that the Service will be uninterrupted, error-free, or that it will meet your requirements. We do not guarantee sales, marketplace approval, or marketplace fee outcomes.
Liability
To the extent permitted by applicable law, NeoGen Solutions GmbH is not liable for indirect or consequential damages, loss of profit, loss of data, or marketplace-related losses. Our aggregate liability for claims related to the Service is limited to the fees you paid to us for the Service in the 12 months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under mandatory law (for example liability for intent or gross negligence).
